LIQUID-Agent Terms of Use

1. Scope and status of access

1.1 Access is granted solely for non-commercial research and evaluation during the LIQUID-Agent early testing programme.

1.2 LIQUID-Agent is a pre-release research prototype. Features may change, be withdrawn, or produce incomplete or incorrect outputs. Participants must independently review any output before relying on it for research decisions.

1.3 No clinical, diagnostic or patient-management use is permitted under this agreement.

2. Permitted use

  • Use the supplied LIQUID-Agent build, documentation and associated materials for non-commercial research evaluation within the participant’s authorised research environment.
  • Use synthetic, public, or appropriately governed research data for which the participant has the necessary rights and approvals.
  • Run supported workflows, inspect outputs, test usability and scientific fit, and provide feedback to the project team.
  • Retain unmodified copies of supplied documentation for the participant’s own evaluation activities, subject to the restrictions below.

3. Restrictions

Unless the University of Leicester gives prior written permission, participants must not:

  • use LIQUID-Agent, its code, documentation or associated materials for commercial purposes;
  • sell, license, sublicense, monetise, host as a paid service, or otherwise commercially exploit LIQUID-Agent or any part of it;
  • modify, adapt, translate, reverse engineer, create derivative works from, or distribute a modified version of LIQUID-Agent, its code, prompts, workflows, documentation or other supplied material;
  • redistribute the early-access build, share access credentials, or make the software available to people who have not joined the approved testing programme;
  • remove or alter authorship, copyright, licence, provenance or University attribution notices; or
  • use the University of Leicester name, crest, logos or trademarks in publicity, endorsement claims or other materials without separate written permission.

4. Data protection, confidentiality and research governance

  • Participants are responsible for ensuring that any data used with LIQUID-Agent may lawfully and ethically be used for the proposed evaluation, including any required institutional approvals, data-access permissions, consent conditions and information-governance requirements.
  • Do not enter directly identifiable patient information, confidential clinical records, credentials, or other restricted information into the conversational interface.
  • LIQUID-Agent is designed around local scientific execution and controlled model-facing summaries. This is a data-minimisation design, not a guarantee of anonymisation, regulatory compliance or suitability for any particular protected dataset.
  • Patient-level, identifiable, pseudonymised, confidential or otherwise restricted data; clinical samples; laboratory records; and third-party datasets remain subject to their own legal, contractual and governance conditions. This agreement grants no rights to such materials.
  • Any confidential information supplied specifically for the early-access programme and marked or reasonably understood to be confidential must not be disclosed outside the participant’s approved testing team without written permission.

5. Research-only use and clinical disclaimer

LIQUID-Agent is provided for research and evaluation purposes only. It is not a medical device and must not be used as the sole basis for diagnosis, treatment selection, clinical decision-making or patient management. Any future clinical use would require appropriate scientific and clinical validation, regulatory assessment, data-protection compliance, information-governance approval and qualified human oversight.

6. Intellectual property and third-party materials

  • All intellectual property rights in LIQUID-Agent and the original materials supplied by the University remain with their respective owner(s). No ownership rights are transferred to the participant.
  • Participants retain ownership of their pre-existing data, software, methods and other background intellectual property.
  • Third-party software, models, datasets, libraries and content used by or alongside LIQUID-Agent remain subject to their own licences and terms. This agreement does not grant additional rights in those materials.
  • Where the University later designates particular public materials as released under CC BY-NC-ND 4.0 or another licence, those stated terms will apply to those materials. The final licensing position for software and early-access materials remains subject to University approval.

7. Feedback and evaluation

  • Participants are encouraged to report errors, unexpected behaviour, missing workflows, usability issues and suggestions for improvement.
  • Unless otherwise agreed in writing, the University may use feedback provided through the testing programme to evaluate and improve LIQUID-Agent. Participants should not include confidential third-party information in feedback unless its disclosure has been authorised.
  • Participation does not create an obligation on the University or project team to implement any requested feature, continue access, or provide technical support beyond what is agreed for the testing programme.
  • Participants must not publish benchmark claims, screenshots, public demonstrations, press statements or comparative performance statements about the pre-release version without prior written agreement from the project team.

8. No warranty and limitation of liability

To the maximum extent permitted by law, LIQUID-Agent is provided “as is” for research evaluation, without warranties, representations or conditions of any kind. The participant remains responsible for checking outputs, maintaining appropriate backups and safeguards, and using independent scientific judgement. The authors and the University of Leicester accept no liability arising from use of the pre-release tool except to the extent that liability cannot lawfully be excluded.

9. Access, duration and withdrawal

  • Early-access permission applies only for the period and version communicated by the project team.
  • The University may suspend or withdraw access where necessary for technical, legal, information-governance, IP or programme-management reasons.
  • On request or when testing ends, participants should stop using the pre-release build and delete any copies that the University asks them to remove, except where retention is required by law or an agreed research record.
